An Act To Require Nonprofit Corporations To Disclose the Salaries of Their Employees

Be it enacted by the People of the State of Maine as follows:

Sec. 1. 13-B MRSA §1301, sub-§1, ¶¶D and E,  as enacted by PL 2007, c. 323, Pt. B, §27 and affected by Pt. G, §4, are amended to read:

D. A brief statement of the character of the activities in which the domestic or foreign corporation is actually engaged in this State, if any; and
E. The address of its principal office, wherever located . ; and

Sec. 2. 13-B MRSA §1301, sub-§1, ¶F  is enacted to read:

F The salary amount paid to each employee if required by section 1308.

Sec. 3. 13-B MRSA §1308  is enacted to read:

§ 1308 Compensation information

1 Duty to disclose.   A nonprofit corporation subject to this Title shall provide to the public the salary amount paid by that corporation to each employee of that corporation. A nonprofit corporation shall make the salary information available by posting the information on its publicly accessible website, or through other comparable means, and must also provide the information to any requesting member of the public within a reasonable time after receiving the request. The nonprofit corporation shall update the salary information it provides at least every 12 months.
2 Exception for churches.   The requirements of this section do not apply to an organization whose primary purpose is religious worship or the management of buildings the primary function of which is housing religious worship.

summary

The purpose of this bill is to make publicly available the salaries of employees of nonprofit corporations. This bill provides that this salary information must be provided on a nonprofit corporation's publicly accessible website, or through other comparable means, and must be provided to any member of the public upon request. This salary information must also be provided in the nonprofit corporation's annual report to the Secretary of State. Churches are not subject to the requirements of this bill.
