| Be it enacted by the People of the State of Maine as follows: |

| | Sec. 1. P&SL 1899, c. 200, §5, sub-§1, as repealed and replaced by PL | 1995, c. 40, §1 and affected by §4, is amended to read: |
|
| | 1. Organization; conduct of business. As soon as convenient | after the election of trustees, the trustees shall hold a meeting | in the city rooms in the City of Waterville and organize by the | election of a president and clerk, adopt a corporate seal and, | when necessary, may choose a treasurer and all other necessary | officers and agents for the proper conduct and management of the | affairs of the district. |

| All decisions of the board of trustees must be by a majority of | those present and voting. A quorum of the board of trustees is 7 | trustees. |
|
| Trustees are entitled to compensation in accordance with Title | 35-A, chapter 63 section 6410, subsection 7, except that | compensation for the president and treasurer of the district need | not be based on attendance at district meetings but may be in the | form of annual salaries that are approved in accordance with that | section. |
|
| No trustee of the district may hold a position or office of | managerial or policy-making authority within any state or local | government, public utility or business that profits from or | conducts business on a regular basis with the district. |
|
| | This bill amends the charter of the Kennebec Water District to | clarify provisions relating to trustee compensation and to | restrict the outside activities of trustees in order to reduce | potential conflicts of interest. |
