Sec. B-117. 13-C MRSA §1506, sub-§§2 to 5, as enacted by PL 2001, c.
640, Pt. A, §2 and affected by Pt. B, §7, are repealed.

 
Sec. B-118. 13-C MRSA §1507, as enacted by PL 2001, c. 640, Pt. A,
§2 and affected by Pt. B, §7, is repealed and the following
enacted in its place:

 
§1507.__Registered office and registered agent of foreign

 
corporation

 
1.__Registered office and agent.__A foreign corporation
authorized to transact business in this State must continuously
maintain in this State:

 
A.__A registered office that may be the same as any of its
places of business; and

 
B.__A registered agent who may be:

 
(1)__An individual who resides in this State and whose
business office is identical with the registered
office;

 
(2)__A domestic corporation or not-for-profit domestic
corporation whose business office is identical with the
registered office; or

 
(3)__A foreign corporation or foreign not-for-profit
corporation authorized to transact business in the
State whose business office is identical with the
registered office.

 
2.__Acceptance of appointment.__Unless the registered agent
signed the document making the appointment, the appointment of a
registered agent or a successor registered agent on whom process
may be served is not effective until the registered agent
delivers a written statement to the Secretary of State accepting
the appointment.

 
3.__Change of registered agent.__A foreign corporation may
change its registered agent by executing and delivering for
filing as provided by section 121 a statement setting forth:

 
A.__The name of the foreign corporation;

 
B.__The jurisdiction of incorporation and the date on which
the foreign corporation was authorized to transact business
in this State;

 
C.__The name and address of its current registered agent;
and
