1.__Nonpayment of fees or penalties.__The foreign limited liability company does not pay when they are due any fees or penalties imposed by this chapter or other law;

2.__Failure to file annual report.__The foreign limited liability company does not deliver its annual report to the Secretary of State as required by section 757;

3.__Failure to pay late filing penalty.__The foreign limited liability company does not pay the annual report late filing penalty as required by section 758;

4.__Failure to maintain registered agent or registered office.__ The foreign limited liability company fails to appoint or maintain a registered agent or registered office in this State as required by section 714;

5.__Failure to notify of change of registered agent or registered office.__The foreign limited liability company does not notify the Secretary of State that its registered agent or registered office has been changed or that its registered agent has resigned as required by section 714;

6.__Filing of false information.__A member, manager or agent of the foreign limited liability company signed a document with the knowledge that the document was false in a material respect and with the intent that the document be delivered to the Secretary of State for filing.

7.__Amended application.__The foreign limited liability company fails to file with the Secretary of State an amended application for authority required by section 715; or

8.__Authenticated certificate of cancellation or merger.__The Secretary of State receives a duly authenticated certificate from the secretary of state or other official having custody of limited liability company records in the state or country under whose law the foreign limited liability company is formed stating that the foreign limited liability company has been cancelled or has disappeared as the result of a merger.

§719-B.__Procedure for and effect of revocation

1.__Notice of determination.__If the Secretary of State determines that one or more grounds exist under section 719-A for the revocation of authority, the Secretary of State shall issue a written notice of that determination to the limited liability
