| §608-E.__Reinstatement of suspended domestic limited liability |
|
| | 1.__Reinstatement after suspension.__A domestic limited | liability company that was suspended before July 1, 2004 may | apply to the Secretary of State for reinstatement and the | reinstatement may be granted, if: |
|
| A.__The Secretary of State determines that the application | contains the information required under section 608-C, | subsection 1; |
|
| B.__The application for reinstatement is accompanied by the | reinstatement fee set forth in section 751, subsection 7-A; | and |
|
| C.__The application for reinstatement is received by the | Secretary of State by June 30, 2010. |
|
| | 2.__Effect on domestic limited liability company failing to | reinstate by June 30, 2010.__A domestic limited liability company | that fails to meet the requirements of subsection 1 is | administratively dissolved and may not reinstate. |
|
| | 3.__Protecting domestic limited liability company name after | suspension.__The name of a domestic limited liability company | that is suspended remains in the Secretary of State's record of | limited liability company names and is protected for a period of | 3 years following suspension. |

| | Sec. 53. 31 MRSA §612, sub-§5, as enacted by PL 1993, c. 718, Pt. A, | §1, is repealed. |

| | Sec. 54. 31 MRSA §616 is enacted to read: |

| §616.__Certificate of existence; certificate of authority; |
|
| | 1.__Application.__Any person may apply to the Secretary of | State for a certificate of existence for a domestic limited | liability company or a certificate of authority for a foreign | limited liability company. |

| | 2.__Contents.__A certificate of existence or certificate of | authority sets forth: |

| A.__The limited liability company's name used in this State; |
