3.__Evidence of existence or authority.__Subject to any qualification stated in the certificate under subsection 2, a certificate of existence or certificate of authority issued by the Secretary of State may be relied upon as conclusive evidence that the registered or foreign limited liability partnership is in existence or is authorized to transact business in this State.

4.__Certificate of fact.__In addition to the certificate authorized under subsection 2, the Secretary of State may issue a certificate attesting to any fact of record in the office of the Secretary of State that may be requested by the applicant under subsection 1.

Sec. 70. 31 MRSA §859, as amended by PL 2003, c. 344, Pt. C, §44, is repealed.

Sec. 71. 31 MRSA §§859-A to 859-E are enacted to read:

§859-A.__Grounds for revocation

Notwithstanding Title 4, chapter 5 and Title 5, chapter 375, the Secretary of State may commence a proceeding under section 859-B to revoke the status of a partnership as a foreign limited liability partnership authorized to do business in this State if:

1.__Nonpayment of fees or penalties.__The foreign limited liability partnership does not pay when they are due any fees or penalties imposed by this chapter or other law;

2.__Failure to file annual report.__The foreign limited liability partnership does not deliver its annual report to the Secretary of State as required by section 873;

3.__Failure to pay late filing penalty.__The foreign limited liability partnership does not pay the annual report late filing penalty as required by section 874;

4.__Failure to maintain registered agent or registered office.__ The foreign limited liability partnership fails to appoint or maintain a registered agent or registered office in this State as required by section 854;

5.__Failure to notify of change of registered agent or registered office.__The foreign limited liability partnership does not notify the Secretary of State that its registered agent
