10.__Person.__"Person" means an individual, corporation,
limited liability company, business trust, estate, trust,
partnership, association, joint venture, government, governmental
subdivision, agency or instrumentality or any other legal or
commercial entity.

 
11.__Property.__"Property" means all property, real, personal
or mixed, tangible or intangible or any interest therein.

 
12.__State.__"State" means a state of the United States, the
District of Columbia, the Commonwealth of Puerto Rico or any
territory or insular possession subject to the jurisdiction of
the United States.

 
13.__Statement.__"Statement" means a statement of dissociation
under section 1074, a statement of dissolution under section
1085, a statement of merger under section 1097, a statement
electing to be governed by this chapter prior to July 1, 2006 or
an amendment or cancellation of any of the foregoing.

 
14.__Transfer.__"Transfer" includes an assignment, conveyance,
lease, mortgage, deed and encumbrance.

 
§1002.__Knowledge and notice

 
1.__Knows.__A person knows a fact if the person has actual
knowledge of it.

 
2.__Has notice.__A person has notice of a fact if the person:

 
A.__Knows of it;

 
B.__Has received a notification of it; or

 
C.__Has reason to know it exists from all of the facts known
to the person at the time in question.

 
3.__Notifies or gives notification.__A person notifies or
gives a notification to another by taking steps reasonably
required to inform the other person in ordinary course, whether
or not the other person learns of it.

 
4.__Receives notification.__A person receives a notification
when the notification:

 
A.__Comes to the person's attention; or

 
B.__Is duly delivered at the person's place of business or
at any other place held out by the person as a place for
receiving communications.
