SUMMARY

This bill allows any authorized individual to sign documents on behalf of foreign business or nonprofit corporations. This bill also removes the requirement that foreign business or nonprofit corporations supply a period of duration on their application for authority. The bill further clarifies that foreign entities must change the registered agent when they change the registered office. The bill also clarifies that foreign entities may have a principal or registered office wherever located. It further clarifies the information required in an affidavit for the resignation of a registered agent for limited partnerships, limited liability companies and limited liability partnerships.
