3.__Failure to pay late filing penalty.__The registered limited liability partnership does not pay the annual report late filing penalty as required by section 874;

4.__Failure to maintain registered agent or registered office.__ The registered limited liability partnership fails to appoint or maintain a registered agent or registered office in this State as required by section 807;

5.__Failure to notify of change of registered agent or registered office.__The registered limited liability partnership does not notify the Secretary of State that its registered agent or registered office has been changed or that its registered agent has resigned as required by section 807; or

6.__Filing of false information.__A partner or agent of the registered limited liability partnership signed a document with the knowledge that the document was false in a material respect and with the intent that the document be delivered to the Secretary of State for filing.

§808-B.__Procedure for and effect of revocation

1.__Notice of determination to revoke partnership's status as registered limited liability partnership.__If the Secretary of State determines that one or more grounds exist under section 808-A for revoking a partnership's status as a registered limited liability partnership, the Secretary of State shall issue a written notice of that determination to the limited liability partnership's last registered office address.

2.__Revocation.__The partnership's status as a registered limited liability partnership is revoked if within 60 days after the notice under subsection 1 was issued the Secretary of State determines that the registered limited liability partnership has failed to correct the ground or grounds for revocation.__The Secretary of State shall send notice to the partnership at the registered limited liability partnership's last registered office address that recites the ground or grounds for revocation of the partnership's status as a registered limited liability partnership and the effective date of revocation.

3.__Effect of revocation of status as registered limited liability partnership.__A partnership whose status as a registered limited liability partnership has been revoked
