4.__Validity of contracts; right to be sued; right to defend suit.__The revocation of the status of a partnership as a registered limited liability partnership under this section does not impair:

A.__The existence of the partnership;

B.__The validity of any contract or act of the registered limited liability partnership;

C.__The right of any other party to the contract to maintain any action, suit or proceeding on the contract;

D.__The right of the registered limited liability partnership to defend any action, suit or proceeding in any court of this State; or

E.__The liabilities of the partners with regard to events, acts or omissions occurring before the date of revocation.

5.__Authority of registered agent.__The revocation of the status of a partnership as a registered limited liability partnership does not terminate the authority of its registered agent.

6.__Protecting limited liability partnership name after administrative dissolution.__The name of a limited liability partnership remains in the Secretary of State's record of limited liability partnership names and is protected for a period of 3 years following revocation.

§808-C.__Reinstatement following revocation

1.__Application for reinstatement.__A partnership whose status as a registered limited liability partnership has been revoked under section 808-B may apply to the Secretary of State for reinstatement within 6 years after the effective date of revocation. The application must:

A.__State the name of the registered limited liability partnership and the effective date of its revocation;

B.__State that the ground or grounds for revocation either did not exist or have been eliminated; and
